Shop and Establishment Registration: How It Works, with the Kerala Process
Shop and establishment registration (often called a shop act licence) is a state-law registration for shops, offices and commercial establishments. Each state has its own Act and portal. In Kerala, registration is made under section 5A of the Kerala Shops and Commercial Establishments Act, 1960 through the Labour Department's online Labour Commissionerate Automation System, within 60 days of the establishment starting operations, and renewals are processed automatically once the renewal application and fee are filed.
What is shop and establishment registration?
Shop and establishment registration is the registration of a shop, office or other commercial establishment with the state Labour Department under that state's shops and establishments law. These laws regulate working hours, weekly holidays, leave, wages, the employment of young persons and women, and the registers an employer must keep.
The registration certificate is the establishment's record with the Labour Department. Banks, landlords and other authorities often ask for it as proof that the business exists at a particular address, so it is usually one of the first registrations a new office or shop obtains.
Because the law is made by each state, the name of the Act, the thresholds, the forms and the portal differ. Some states require every establishment to register; others distinguish by the number of workers. Always apply under the law of the state where the establishment is located, and register each establishment separately.
Who needs shop and establishment registration in Kerala?
In Kerala, shops and commercial establishments covered by the Kerala Shops and Commercial Establishments Act, 1960 must register under section 5A. This typically covers retail shops, offices, consultancies, restaurants and similar commercial establishments, subject to the definitions and exemptions in the Act.
A company, LLP, partnership firm or proprietorship each registers its own establishment. A business with offices in more than one place registers each office, and a business with establishments in other states registers under each state's own law.
If you are unsure whether your establishment is covered, check the Act's definitions and exemptions or ask the local Assistant Labour Officer. It is usually simpler to register than to rely on an exemption that later turns out not to apply.
How do you register a shop or establishment in Kerala?
Apply online through the Labour Commissionerate Automation System (LCAS) of the Kerala Labour Department. Since the 2021 amendment, section 5A requires applications to be made through this system. Create an employer login, fill in the establishment's details, the employer and manager details, the nature of business and the number of workers, upload the documents and pay the fee online.
The Kerala Labour Department's standard operating procedure says the application should be made within 60 days from the date the establishment commences operations. The registering authority is the Assistant Labour Officer, who scrutinises the application, the documents and the fee and issues the registration certificate through the portal.
Keep the certificate displayed at the establishment and keep a copy in your compliance file. Any change in the employer, manager, address or nature of business should be updated so that the certificate reflects the current position.
Which documents are needed?
The Kerala Labour Department's checklist lists the printed application form, the challan or receipt for the registration fee, and either the D and O licence (trade licence) from the local body or the lease agreement for the premises. The application itself captures the details of the employer, the manager and the workers.
In practice, keep ready the PAN and incorporation or registration certificate of the business, identity and address proof of the employer or authorised signatory, proof of the premises (ownership document or rent agreement), the local body licence where already obtained, and the list of workers with their designations.
Applications are usually delayed by address mismatches. The address on the lease, the local body licence and the application should be identical, including building and door numbers.
How does renewal work in Kerala?
Under section 5A(6), as amended in 2021, the renewal application with the prescribed fee is filed through the Labour Commissionerate Automation System at least 30 days before the certificate expires, and the certificate is then renewed automatically.
The same amendment removed the earlier requirement that the authority be satisfied of substantial compliance before renewing. That does not reduce the duty to comply: registers, records, notices, working hours and leave rules continue to apply, and a certificate can still be cancelled or suspended for misrepresentation, fraud or contravention of the Act.
Diary the expiry date and file the renewal well within the 30-day window. Late renewal is a common inspection finding and is easy to avoid.
What compliance follows registration?
Once registered, the establishment must follow the Act's rules on opening and closing hours, daily and weekly working hours, rest intervals, weekly holidays, leave and wages, and must maintain the prescribed registers and records and display the required notices. The Labour Department's inspection checklist also covers welfare facilities such as drinking water, first aid, rest rooms and latrines.
Shop and establishment registration does not replace other registrations. A new business in Kerala typically also needs a trade licence from the municipality or panchayat, GST registration where the threshold or a mandatory trigger applies, profession tax enrolment with the local body, and, depending on headcount, provident fund and ESI registration.
The central labour codes brought into force from 21 November 2025 replaced several central labour laws. State shops and establishments laws are state legislation, so continue to follow the Kerala Act and check for any state amendments or notifications.
